Kofola merges with a significant Polish manufacturer of non-alcoholic beverages – the Hoop Company.

The Luxembourg-based KSM Investment S.A. as the owner of the Kofola Group and the Hoop S.A. Company residing in Warsaw have finally agreed on the conditions of a merger of the Kofola group and Hoop S.A. The amalgamation of both subjects will create one of the strongest central European players in the non-alcoholic beverages market.

The amalgamation of the Kofola Group and the Hoop Company will be effected as a so-called take-over amalgamation, which means that all the property of the Kofola Group will be transferred to the Hoop Company as the taking-over company and at the same time the registered capital of the Hoop Group will be increased in a form of new share issue. The whole transaction should be finished by 31 May 2008. The current shareholders of the Kofola Group will have a 57% share in the merged company. The current co-owner of the Hoop Company, Mr Marek Jutkiewitz, will own 15%, and the ING TFI funds will own further 6% of the merged company’s shares. The remaining 22% will be freely tradable on the Warsaw exchange.

“The main goal of the merger of the Kofola Holding and the Hoop Company is the utilization of the synergic effect of both companies, e.g. in the production, distribution and sale of non-alcoholic beverages, and the creation of the best possible conditions for further expansion of the group where the companies are currently operating,” says Martin Klofanda, spokesman of the Kofola Holding Company, about the merger.

Hoop Capital Group

The capital group HOOP focuses its activities on the production and distribution of sparkling and still non-alcoholic beverages and mineral water. The scope of activity of HOOP Group covers the whole area of Poland as well as the Russian Federation by means of its dependant companies.

The product range offered by HOOP S.A. consists of almost 100 items. The best-known brands are the following beverages: Hoop Cola, Hoop Fruti, Flip, Superhero, Zozole, and the mineral water brands: Arctic, Grodziska, Nałęczów Zdrój. The company also produces beverages under Private Labels – manufactured for external companies according to a specified recipe, especially for big shop chains.
